These Terms & Conditions govern your use of the Brindolo website and the advisory services we provide. By using our website or engaging our services, you agree to these terms. Please read them carefully.
1. Definitions
- "Brindolo", "we", "us", "our" — the brand advisory practice operated under the name Brindolo, based in Bangkok, Thailand.
- "Client", "you", "your" — any individual or organisation that uses this website or engages Brindolo for advisory services.
- "Services" — brand advisory engagements offered by Brindolo, including the Brand Foundation Engagement, Positioning & Messaging Workshop, and Brand Voice Critique.
- "Engagement" — a specific advisory project confirmed between Brindolo and a Client through a written proposal and acceptance.
- "Deliverables" — written documents, frameworks, and materials produced by Brindolo within an Engagement.
- "Agreement" — these Terms & Conditions together with any proposal or statement of work accepted by the Client.
- "Website" — the website operated by Brindolo at https://brindolo.biz.
2. Acceptance of Terms
By accessing the Website or engaging our Services, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms & Conditions in full.
For advisory Engagements, agreement is formed when a Client accepts a written proposal from Brindolo, whether by signature, email confirmation, or payment of the first invoice.
3. Service Description
Brindolo provides brand strategy advisory services to businesses and organisations. The specific scope, timeline, and deliverables of each Engagement are set out in a written proposal issued prior to commencement.
We operate primarily from Bangkok, Thailand, and work with clients across Southeast Asia and internationally. Services are delivered remotely unless a specific in-person component is agreed in writing.
4. Engagement Terms
4.1 Scope and changes
The scope of each Engagement is defined in the written proposal. Any material change to scope — whether requested by the Client or necessitated by new information — must be agreed in writing and may result in a revised timeline or fee.
4.2 Client cooperation
The quality of advisory work depends in part on the Client's active participation. We ask that Clients provide timely access to relevant stakeholders, honest context about the business, and reasonably prompt responses to questions and draft materials.
Where a Client's delay materially affects our ability to deliver on the agreed timeline, Brindolo reserves the right to revise delivery dates accordingly, with notice.
4.3 Timelines
Timelines stated in proposals are working estimates and not guaranteed delivery dates, unless explicitly stated as fixed deadlines in writing. We aim to meet all stated timelines and will communicate proactively if circumstances change.
5. User Responsibilities
When using the Website, you agree not to:
- Use the Website for any unlawful purpose or in a way that violates any applicable laws or regulations.
- Attempt to gain unauthorised access to any part of the Website or its infrastructure.
- Transmit any content that is harmful, defamatory, or infringes any third party's rights.
- Reproduce or republish any content from this Website without our prior written consent.
- Use automated tools to scrape or extract content from this Website.
6. Intellectual Property
6.1 Brindolo materials
All content on this Website — including text, methodology descriptions, frameworks, and visual design — is the intellectual property of Brindolo and is protected under applicable Thai and international law. No content may be reproduced or used commercially without our written permission.
6.2 Engagement deliverables
Upon receipt of full payment for an Engagement, Brindolo grants the Client a non-exclusive, non-transferable licence to use the Deliverables for the Client's own internal business purposes. The Client may share Deliverables with partner agencies and contractors directly involved in executing work informed by the Deliverables.
Brindolo retains the right to reference the existence of the Engagement in its own materials unless the Client requests otherwise in writing prior to the Engagement closing.
7. Payment Terms
All fees are quoted and invoiced in Thai Baht (฿) unless otherwise agreed in writing.
- For the Brand Foundation Engagement (฿34,200): 50% due on acceptance of proposal; 50% due on delivery of the brand foundation document.
- For the Positioning & Messaging Workshop (฿16,800): 50% due on acceptance of proposal; 50% due on delivery of the messaging architecture.
- For the Brand Voice Critique (฿3,500): full fee due on acceptance of proposal.
Payment is accepted by bank transfer to the account details provided on each invoice. Invoices are payable within 14 days of issue.
Refund policy: Deposits are non-refundable once work has commenced. If Brindolo is unable to deliver the agreed Engagement for reasons within our control, we will refund the relevant portion of fees paid.
8. Confidentiality
Both parties agree to treat as confidential any non-public information shared in the course of an Engagement. Brindolo will not disclose Client business information to third parties except as required to deliver the agreed Engagement (for example, sharing context with a sub-contracted researcher) or as required by law.
This confidentiality obligation continues for a period of three years following the close of an Engagement.
9. Disclaimers
Brindolo's advisory services are professional in nature and are provided with care and skill. However, we cannot warrant specific commercial outcomes. Brand strategy work informs decisions — it does not make them. The results of any Engagement will depend on how the Client applies the work produced.
The Website is provided on an "as is" basis. We make no warranties regarding its uninterrupted availability, freedom from errors, or fitness for any particular purpose.
10. Limitation of Liability
To the extent permitted by Thai law, Brindolo's total liability to a Client in connection with any Engagement shall not exceed the total fees paid by the Client for that Engagement.
We shall not be liable for any indirect, consequential, or speculative losses, including loss of profit, loss of revenue, or loss of anticipated savings, whether arising in contract, tort, or otherwise.
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded under Thai law.
Force majeure: Neither party shall be in breach of these Terms for any failure to perform that is caused by circumstances beyond that party's reasonable control.
11. Indemnification
The Client agrees to indemnify and hold harmless Brindolo, its advisors, and associates from any claims, damages, or costs arising from the Client's misuse of Deliverables, breach of these Terms, or infringement of any third party's rights in connection with material provided by the Client to Brindolo during an Engagement.
12. Termination
Either party may terminate an Engagement by giving 14 days' written notice. If the Client terminates, fees for work completed up to the date of termination are payable. The deposit paid at the outset is non-refundable.
Brindolo may terminate an Engagement immediately if the Client engages in conduct that is unlawful, harmful to our team, or that makes the continuation of the work unreasonable.
Sections 6, 8, 10, and 11 survive the termination of any Engagement.
13. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Both parties agree to submit to the non-exclusive jurisdiction of the Thai courts.
Before initiating formal proceedings, we ask that both parties attempt to resolve any dispute informally by direct communication. A period of 30 days is allowed for good-faith negotiation before either party may pursue formal legal action.
14. General Provisions
- Entire agreement: These Terms, together with any accepted proposal, constitute the entire agreement between the parties regarding the subject matter.
- Severability: If any provision is found unenforceable, the remainder of the Terms continues in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
- Assignment: Neither party may assign rights or obligations under these Terms without the other's written consent.
- Notices: Formal notices should be sent by email to the addresses provided, with read-receipt confirmation, or by registered post to the addresses of record.
15. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. For active Engagements, the Terms in force at the time of the accepted proposal apply unless both parties agree otherwise in writing.
